1. Scope and Eligibility

These General Terms and Conditions (“Terms”) govern all sales by Nivellipso AG (“Nivellipso”, “we”, “us”) to buyers via this platform.

Nivellipso sells exclusively to licensed dental and orthodontic professionals and their practices (“B2B only”). By placing an order you confirm that you hold a valid dental or orthodontic licence in your jurisdiction. Consumer purchases are not permitted. We reserve the right to cancel and refund any order where we cannot verify professional eligibility.

2. Ordering

Orders placed through our platform constitute a binding offer. A contract is formed upon our written order confirmation or despatch of goods, whichever occurs first. We reserve the right to refuse or limit orders.

Product images and descriptions are provided in good faith but are illustrative. Specifications may be updated to reflect ongoing product improvements without prior notice.

3. Pricing

Prices are quoted in CHF (Swiss Francs) or EUR as displayed at checkout and are exclusive of VAT, shipping, and import duties unless stated otherwise. For EU customers, Swiss export VAT is not charged; import VAT is your responsibility.

Volume pricing tiers apply automatically at checkout for verified Pro Account holders. We reserve the right to correct pricing errors; we will notify you before processing any corrected charge.

4. Payment

Payment is processed via Stripe. Accepted methods: Visa, Mastercard, American Express, SEPA Direct Debit (EU), and invoice (net-30, verified Pro Accounts only). Card data is encrypted and handled entirely by Stripe; Nivellipso never stores card details.

For net-30 accounts, late payments accrue interest at 5% per annum above the Swiss National Bank reference rate, calculated daily.

5. Shipping

All shipments originate from our facility in Solothurn, Switzerland. Lead times: aligners 5 business days, brackets and wires 72 h (EU) / 96 h (UK, CH). Expedited shipping available at additional cost.

Risk passes to the buyer upon handover to the carrier. Title passes upon full payment. Nivellipso is not liable for delays caused by customs clearance, carrier disruption, or force majeure events.

6. Returns and Refunds

Returns are accepted within 14 calendar days of delivery for non-sterile, non-regulated items in original, unopened condition. To initiate a return, contact returns@nivellipso.com for an RMA number.

The following are NOT returnable: sterile or single-use devices (aligners, surgical consumables), products with broken seals, custom-manufactured items, products handled in a manner inconsistent with their intended use or storage requirements.

Refunds are issued to the original payment method within 10 business days of receiving and inspecting the returned goods. Outbound shipping costs are non-refundable.

7. Warranty

Products are warranted to conform to their published specifications at the time of shipment. Defective products will be replaced or credited at our discretion. This warranty does not cover damage arising from misuse, improper storage, or modification. Implied warranties are excluded to the maximum extent permitted by Swiss law.

8. Liability

Our liability for indirect or consequential loss is excluded pursuant to Swiss Code of Obligations Art. 199. Our total aggregate liability for any claim shall not exceed the invoice value of the goods giving rise to the claim. Nothing in these Terms limits liability for fraud, personal injury, or death caused by our negligence.

9. Governing Law and Jurisdiction

These Terms are governed by Swiss law, excluding conflict-of-law provisions. The exclusive place of jurisdiction for any disputes arising from or related to these Terms is Solothurn, Switzerland.

10. Amendments

Nivellipso may amend these Terms at any time. Continued use of the platform after notice of amended Terms constitutes acceptance. Terms applicable at the time of order confirmation govern that transaction.
